COR HEALTH INC. TERMS OF SERVICE

PLEASE READ THE FOLLOWING TERMS OF USE (“AGREEMENT”) CAREFULLY BEFORE USING THE SERVICES (AS DEFINED BELOW) OFFERED BY COR HEALTH INC. (“US”, “WE”, “OUR” OR “COR HEALTH”). THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE COR HEALTH SOFTWARE EMBEDDED WITHIN THE COR HEALTH DEVICE, THE COR HEALTH SUBSCRIPTION SERVICE(S) USED IN CONJUNCTION WITH THE COR HEALTH DEVICE(S) (“SUBSCRIPTION” OR “MEMBERSHIP”), AND THE SERVICES, FEATURES, CONTENT, WEBSITES (OR OTHER LINKED PAGES) OR APPLICATIONS OFFERED, FROM TIME TO TIME, BY COR HEALTH IN CONNECTION THEREWITH (COLLECTIVELY, THE “SERVICE(S)”). THESE TERMS COVER IMPORTANT INFORMATION ABOUT SERVICES PROVIDED TO YOU AND ANY CHARGES AND AMOUNTS WE BILL YOU. THESE TERMS INCLUDE INFORMATION ABOUT FUTURE CHANGES TO THESE TERMS AND AUTOMATIC RENEWALS.

"YOU” AND “YOUR” REFER TO THE PERSON ACCESSING OR USING THE SERVICES, OR IF YOU CREATE AN ACCOUNT ON BEHALF OF AN EMPLOYER, COMPANY, ORGANIZATION, OR OTHER ENTITY, THEN (I) ALL REFERENCES TO “YOU” HEREIN INCLUDES YOU AND THAT ENTITY, (II) YOU REPRESENT AND WARRANT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE ENTITY WITH THE AUTHORITY TO BIND THE ENTITY TO THIS AGREEMENT, AND (III) YOU AGREE TO THIS AGREEMENT ON THE ENTITY’S BEHALF.

BY ACCESSING AND USING THE SERVICE IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT AND THE COR HEALTH PRIVACY POLICY (INCORPORATED HEREIN BY REFERENCE). IF YOU DO NOT ACCEPT THIS AGREEMENT AND THE PRIVACY POLICY, YOU ARE NOT AUTHORIZED TO USE THE SERVICES.

INTRODUCTION
The COR Health SUBSCRIPTION includes use of a COR Health Device plus access to the COR Health app, which provides personalized inflammation insights. COR Health may offer multiple subscription options, including monthly, annual, and multi-year plans. Pricing information for each Subscription is available by contacting us at hi@corhealth.com.

The Services allow you to track, manage, and share inflammation-related information collected by the COR Health Device. The Services are provided to you by COR Health, in connection with our partners, service providers, sponsors, or other affiliates. So that we may safely and responsibly manage our website and mobile applications for all users, your use of the Services is subject to this Agreement and the Privacy Policy. COR Health may modify this Agreement, the Privacy Policy, Content, and/or the Services at any time; such modifications are effective upon posting. By continuing to access or use the Services after such modifications, you agree to be bound by the updated Agreement, Privacy Policy, Content, and/or Services.

Whether you purchased a Subscription or received a Subscription from an authorized third-party retailer or authorized third-party marketplace (each, an “Authorized Reseller”), this Agreement applies to your use of the Services.

REGISTRATION
To use the Subscription, you must subscribe, pay applicable subscription fees (“Subscription Fees”) when due, and create an account (“Account”). You agree to provide true, accurate, and complete information and to keep your Account information current. You must not use a username that you are not authorized to use. You are responsible for all activities occurring under your Account and must keep your password confidential. Notify us immediately of any unauthorized use of your Account. COR Health is not liable for any loss or damage from your failure to comply with this Section.
ELIGIBILITY
You represent and warrant that you are at least 18 years old. If you are under the legal age of majority in your jurisdiction, your use of the Services requires parental consent. If you are under age 18, you may not use the Services under any circumstances. We may refuse to offer or continue offering the Services to any user or entity and may change eligibility criteria at any time.
USE OF THE SERVICES
COR Health software, text, graphics, images, video, audio, data, and other technology or materials (collectively, “Content”) are made available through the Services. The Services and Content may involve proprietary and third-party advanced technologies, such as artificial intelligence and machine learning (together, “AI Technology”), including third-party large language models (“LLM”).

Subject to this Agreement and your Subscription, we grant you a worldwide, non-exclusive, non-transferable, and non-sublicensable limited license to access and use the Content and software made available through the Services, and to use the COR Health software embedded within the COR Health Device solely for use of the Services. Unauthorized use, reproduction, modification, distribution, or storage of any Content is prohibited.

The Services may include links to or content from third-party websites and services (“External Services”), including AI Technology. External Services are provided solely as a convenience and do not constitute endorsement by COR Health.

The Services are intended for personal, non-commercial use only and may not be used for any commercial endeavor not expressly approved by COR Health, except that licensed clinics and medical professionals may use the Services to administer tests and report results to their patients. Unauthorized activities include, but are not limited to, collecting information from other users to send unsolicited communications or using the Services for any unlawful purpose.

1. TERMINATION
  We may terminate your Subscription if you breach this Agreement. We may also terminate or modify any of the Services at our discretion. If you are not in breach, we will provide a pro rata refund of any pre-paid Subscription Fees for the period in which you did not benefit from the terminated Services.

You must maintain an active Subscription, paying all Subscription Fees when due, or this Agreement terminates. If you have a free Subscription, COR Health may modify or discontinue it at any time without notice.

Subscription Fees are non-refundable unless otherwise stated. If you purchased Services directly from COR Health, your Subscription begins upon shipment of your COR Health Device. If purchased from an Authorized Reseller, your Subscription begins once you connect your COR Health Device.

After any required initial commitment period, you may cancel your Subscription as set forth herein. Upon cancellation or termination, all licenses granted to you terminate, and you lose access to your User Content through the Services.

SUPPORT
Support and maintenance, if any, are provided as set forth in our FAQs or as otherwise indicated.
USER CONTENT
“User Content” includes any content you submit or that is collected through your use of the Services. You warrant that User Content you provide is accurate, lawful, and does not infringe the rights of others.

By submitting User Content, you grant COR Health a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, publish, and otherwise exploit the User Content as part of providing the Services. You also grant each user of the Services limited rights to access and use your User Content if you have enabled such sharing.

You agree not to submit User Content that is unlawful, infringing, false, defamatory, or otherwise inappropriate. COR Health may remove User Content and may terminate repeat infringers.

THE SERVICES AND ANY CONTENT THEREIN ARE NOT MEDICAL ADVICE AND ARE NOT INTENDED TO REPLACE PROFESSIONAL MEDICAL GUIDANCE. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROVIDER BEFORE STARTING, MODIFYING, OR ENDING ANY HEALTH OR WELLNESS PROGRAM. COR HEALTH IS NOT RESPONSIBLE FOR ANY HEALTH ISSUES RESULTING FROM THE USE OR MISUSE OF THE SERVICES.
FITNESS RELATED CONTENT
Content related to training or exercise is for informational purposes only. COR Health is not a healthcare provider or fitness professional. Use discretion and consult a professional before following any recommendations.
PAYMENT OF FEES
(a) You agree to pay Subscription Fees as described at the time of purchase.
(b) We may bill you directly or through a third-party payment processor.
(c) Payment terms are governed by your Payment Method provider’s terms.
(d) Subscription Fees may automatically renew unless you cancel as provided herein.
(e) You must keep your billing information current.
(f) If your Subscription is set to auto-renew, we will continue to charge your Payment Method until you cancel.
(g) Non-termination of your Subscription reaffirms our right to charge you.
INDEMNITY
You agree to defend, indemnify, and hold COR Health and its affiliates harmless from any claims arising from your User Content, your use of the Services, your breach of this Agreement, or your violation of any law or the rights of a third party.
AI TECHNOLOGY
(a) AI Technology may produce content (“Output”) that is imperfect, biased, or contains errors.
(b) You must use independent judgment before relying on any Output. Output is informational only.
(c) COR Health is not liable for any harm resulting from your use of AI Technology or Output.
DISCLAIMER OF WARRANTY
EXCEPT AS STATED IN SECTION 18, THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. COR HEALTH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY
COR HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES IN EXCESS OF ONE HUNDRED DOLLARS ($100).
CHANGES TO SERVICES
We may suspend, discontinue, or modify the Services at any time and remove any Content without notice.
GENERAL
(a) You may not assign this Agreement; COR Health may assign it without restriction.
(b) This Agreement is governed by California law. Any claims shall be brought in San Diego County, California.
(c) If any provision is invalid, the remainder remains in effect.
(d) Our failure to enforce any term is not a waiver.
(e) This Agreement, along with the Privacy Policy, constitutes the entire agreement.
(f) Section headings are for convenience only.
(g) Provisions that should survive termination do survive.

WARRANTY AND RETURN POLICY
You may cancel your Subscription and return your COR Health Device any time, with authorization. No refunds will be issued. There will be no ongoing charges beyond a return fee. To request a return, contact hi@corhealth.com. For purchases from Authorized Resellers, returns must be made to the point of sale subject to their policies.

After 30 days, you may cancel your Subscription at any time, but no refunds will be issued. The COR Health Device is warranted against defects for as long as you have an active Subscription with no outstanding balance. This warranty does not cover loss, theft, misuse, or unauthorized modifications.

UPGRADE POLICY
If you pay a one-time fee to upgrade or replace your COR Health Device, your Subscription terms remain unchanged. If an upgrade is provided as part of a Subscription renewal offer, the new Subscription period begins immediately, and any remaining days are appended.
TRIAL OPTIONS
COR Health may offer the following trial options:
(1) A free trial period to certain new end users (a “Free Trial”), allowing you to use a COR Health Device and the Services before committing to a Subscription.
(2) A paid trial period (“Prepaid Trial”) offered to certain new end users, allowing use of a COR Health Device and the Services for a set trial period before committing to a Subscription.

All trials are governed by this Agreement.
(a) Registration.
Free Trials allow use of the COR Health Device for the trial period at no initial charge. Prepaid Trials require payment of a nonrefundable, upfront fee. Devices provided in trials may be new or refurbished.

(b) Subscription Commitment.
All trials include an associated Subscription that will begin automatically at the end of the trial period unless you cancel and return the Device as described below. If you do not cancel, you will be charged the Subscription Fee.

(c) Cancellation and Returns.
You may cancel your trial during the trial period by contacting hi@corhealth.com and returning the COR Health Device.

(d) Eligibility.
Trial offers may vary by region and by user. COR Health reserves the right to determine eligibility at its sole discretion.
